END USER LICENSE AGREEMENT

PLEASE READ THIS DOCUMENT CAREFULLY BEFORE DOWNLOADING THIS SOFTWARE

BY DOWNLOADING THIS SOFTWARE, YOU AGREE TO BECOME BOUND BY THE TERMS OF THIS LICENSE.  IF YOU DO NOT AGREE TO THE TERMS OF THIS LICENSE, DO NOT USE THIS PRODUCT AND PROMPTLY RETURN THIS UNOPENED PACKAGE WITHIN 10 DAYS TO MARMALADE MEDIA, LLC, AT THE ADDRESS LISTED BELOW FOR A REFUND.

The data and images on this Digital Video Disk (DVD) or downloaded by you (the "Data") are licensed, not sold to you by Marmalade Media, LLC ("Marmalade Media"), owner of the product, for use only under the terms of this License, and Marmalade Media reserves any rights not expressly granted to you.  The DVD or downloaded Data is proprietary to Marmalade Media and title to it remains in Marmalade Media.  All applicable rights to copyrights, trade secrets, patents and trademarks in the DVD and its contents or downloaded data, as well as any modifications or enhancements made shall remain with Marmalade Media, LLC. 

1.  License.  This is a perpetual non-exclusive, non-transferable License which allows you to:

(a)  Use the DVD or downloaded Data only on a single computer at a time. The DVD or downloaded Data may not be used with any gateways, bridges, modems, and/or network extenders that allow the DVD or downloaded Data to be used on multiple computers unless one authorized copy of the DVD or downloaded Data has been licensed from Marmalade Media, LLC for each computer.

(b)  Make one copy of the DVD or downloaded Data solely for archival purposes.  The data and images on the DVD or downloaded are protected by United States copyright law.  You must reproduce on each copy the copyright notice and any other proprietary legends that were on the original copy supplied by Marmalade Media, LLC.  All copies made are the exclusive property of Marmalade Media, LLC.

(c)  Add, modify, adapt or remove fonts, text, or other elements of the data and images contained on the DVD. You may create derivative works based on the data and images for use and sale of a single end-product.

2.  Restrictions.

The DVD and its contents or downloaded Data may be used only for your own business.  You may not: (a) distribute copies of the DVD or downloaded Data to others or electronically transfer the data and images contained on the DVD from one computer to another or to a network and/or zone, (b) permit any parent, subsidiaries, affiliated entities or third parties to use the DVD or its contents, or (c) rent, lease, loan, resell for profit or  distribute the content of the DVD or downloaded Data, in whole or in part, or any derivative works created from the content of the DVD or any part thereof, as a library, collection, set or product.

3.  Termination.

This License is effective until terminated.  This License will terminate immediately without notice from Marmalade Media, LLC if you fail to comply with any provision of this License.  Upon termination you must return the DVD to Marmalade Media, LLC and destroy the related data and images stored on your computer and all copies thereof.  You may terminate this License at any time by discontinuing use of the data and images and all copies thereof.

4.  Export Law Assurance.

You agree that the DVD or downloaded Data will not be shipped, transferred or exported, directly into any country prohibited by the United States Export Administration Act and the regulations thereunder nor will be used for any purpose prohibited by the Act.

5.  Limited Warranty, Disclaimers, Limitation of Remedies and Damages.

MARMALADE MEDIA'S WARRANTY ON THE DVD, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, IS LIMITED IN DURATION TO THIRTY (30) DAYS FROM THE DATE OF THIS ORIGINAL RETAIL PURCHASE OF THIS PRODUCT.  IF A DVD FAILS TO WORK OR IF A DVD BECOMES DAMAGED, WITHIN THE AFORE-DESCRIBED THIRTY (30) DAY PERIOD, YOU MAY OBTAIN A REPLACEMENT DISK BY RETURNING THE ORIGINAL DISK, TOGETHER WITH A BRIEF LETTER OF EXPLANATION TO:

THIS REPLACEMENT WARRANTY SET FORTH ABOVE IS THE SOLE AND EXCLUSIVE REMEDY AGAINST MARMALADE MEDIA, LLC FOR BREACH OF WARRANTY, EXPRESS OR IMPLIED, OR FOR ANY DEFAULT WHATSOEVER RELATING TO THE CONDITION OF THE DVD OR ANY DATA OR IMAGES THEREON.  MARMALADE MEDIA, LLC MAKES NO OTHER WARRANTIES OR REPRESENTATIONS, EITHER EXPRESSED OR IMPLIED, WITH RESPECT TO THIS DVD OR THE DATA AND IMAGES, THEIR QUALITY, MERCHANTABILITY, PERFORMANCE OR FITNESS FOR A PARTICULAR PURPOSE.  AS A RESULT, THIS DVD IS SOLD WITH ONLY THE LIMITED WARRANTY WITH RESPECT TO DVD REPLACEMENT AS PROVIDED ABOVE, AND YOU, THE OWNER, ARE ASSUMING ALL OTHER RISKS AS TO ITS QUALITY AND PERFORMANCE.  IN NO EVENT WILL MARMALADE MEDIA, LLC OR ITS DEVELOPERS, DIRECTORS, OFFICERS, EMPLOYEES OR AFFILIATES BE LIABLE FOR DIRECT, INCIDENTAL, INDIRECT, SPECIAL OR CONSEQUENTIAL DAMAGES (INCLUDING DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION AND THE LIKE) RESULTING FROM ANY DEFECT IN THIS CD OR ITS CONTENTS OR ARISING OUT OF THE USE OR INABILITY TO USE THE DVD OR ITS CONTENT EVEN IF MARMALADE MEDIA, LLC AN AUTHORIZED REPRESENTATIVE OR AN AFFILIATE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.  MARMALADE MEDIA%u2019S SOLE LIABILITY, INCLUDING LIABILITY ARISING OUT OF CONTRACT, NEGLIGENCE, AND STRICT LIABILITY IN TORT OR WARRANTY, SHALL NOT EXCEED ANY AMOUNTS PAYABLE BY MARMALADE MEDIA, LLC FOR THE DVD.

MARMALADE MEDIA, LLC MAKES NO REPRESENTATION OR WARRANTY REGARDING THE RESULTS OBTAINABLE THROUGH USE OF THE DVD.

NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY MARMALADE MEDIA, LLC, ITS DEALERS, DISTRIBUTORS, AGENTS, AFFILIATES, DEVELOPERS, DIRECTORS, OFFICERS OR EMPLOYEES SHALL CREATE A WARRANTY OR IN ANY WAY INCREASE THE SCOPE OF THIS WARRANTY.

SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF IMPLIED WARRANTIES OR LIABILITIES FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THAT ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.  THIS WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY ALSO HAVE OTHER RIGHTS WHICH VARY FROM STATE TO STATE.

6.  Copyright Notice.

THE DFD AND ITS CONTENTS ARE COPYRIGHTED WITH ALL RIGHTS RESERVED BY MARMALADE MEDIA, LLC.  UNDER UNITED STATES COPYRIGHT LAWS, THE DVD AND ITS CONTENTS MAY NOT BE COPIED, IN WHOLE OR IN PART, EXCEPT IN THE NORMAL USE OF THE DVD OR TO MAKE A BACKUP COPY FOR ARCHIVAL PURPOSE ONLY.  ANY OTHER COPYING, SELLING OR OTHERWISE DISTRIBUTING THIS DVD OR ANY OF ITS CONTENT, IN WHOLE OR IN PART, IS HEREBY EXPRESSLY FORBIDDEN.

7.  Indemnification.

You will, at your own expense, indemnify, promptly reimburse Marmalade Media, LLC for the defense of, and hold Marmalade Media, LLC and its officers and employees harmless from and against any and all claims, actions, liabilities, losses, damages, judgments, grants, costs and expenses (including reasonable attorneys' fees) arising out of injury or death to persons, or damage to property, resulting from or pertaining to your use or operation of the DVD, any data or images contained thereon, and/or any additions, modifications, changes or derivative works thereof, whether or not occasioned by your negligence or misconduct or the negligence or misconduct of your contractors that you have allowed to use the DVD and any of its contents.

8.  Miscellaneous.

This License constitutes the entire agreement and understanding between the parties and supersedes any prior agreement or understanding whether oral or written, relating to the subject of this License.  This License may only be modified by a written agreement signed by both parties.  This License and performance hereunder shall be governed by the laws of the State of Georgia without regard to its conflicts of law principles.  The sole jurisdiction for any legal proceedings under this License shall be in the courts of the State of Georgia.  The waiver or failure of Marmalade Media. LLC to exercise in any respect any right provided for herein shall not be deemed a waiver of any further right hereunder.  If any provision of this License is invalid, illegal or unenforceable under any applicable statute or rule of law, it is to that extent to be deemed omitted, and the remaining provisions shall not be affected in any way.  The headings of the various Paragraphs and Subparagraphs herein are for convenience only and shall not control or affect the meaning or construction of any provisions of this Agreement.
